Three things make this work — three things only.
Buyer and seller see the same contract on the same URL. No PDF flying around by email, no version mismatch, no 'which one is the latest?'. Each party can invite advisors (lawyer, expert, accountant) in CC.
Our AI (Claude Sonnet 4.6) writes the initial 12-article contract from the listing and order data, then updates it after each party comment. Every change is highlighted, every revision comes with a plain-French explanation of what changed and why.
Once both parties accept a version, each signs on a DocuSign-style page (canvas signature + typed full name + timestamp + IP). The signed contract is then a printable PDF with both signatures embedded — legally binding under Swiss law.

T+0. An order is placed on Heavy Buddy. The buyer clicks 'Initiate contract'. The AI generates V1 of a 12-article sales contract — identification of parties, object, price, escrow phases, warranties, delivery, applicable law (Swiss CO), jurisdiction (Geneva courts), signatures.
T+1h. The buyer reads the draft on the shared page. He posts a comment: 'I'd like 30 days of warranty after delivery instead of 10.'
T+1h05. The seller reads the buyer's comment. He posts: 'OK for 30 days, but with exclusion of engine wear from normal use.'
T+1h06. The AI is triggered. It reads both unresolved comments and produces V2.
T+2h. Buyer accepts V2. Seller accepts V2. Both signatures recorded with timestamp + IP. The contract is locked.
T+2h05. Each party opens the signature page. Buyer signs with mouse/touch on the canvas + types full name. Seller does the same. Both signatures embedded in the final document.
Each party can invite up to two advisors. They see everything, they comment, they don't sign.
Lawyer, technical expert, accountant, broker, in-house legal counsel. Anyone whose opinion you value on this specific deal. They get a personal magic link — no platform account needed.

Only the buyer and the seller can accept and sign the contract. Advisors counsel — they do not bind. This keeps the responsibility clear and prevents a third party from blocking the deal.
Deals above CHF 100,000, cross-border transactions, machines with regulatory specifics (rail-road conversion, CE compliance), or any time one party simply prefers a second set of eyes.

Heavy Buddy provides a serious template grounded in Swiss CO and a structured exchange tool. For deals where the stakes warrant it, having an actual lawyer review the final version is highly recommended — and our platform makes their job 10× faster.
If the parties cannot find a middle ground on a clause, the AI will not invent a compromise. It flags the comment as unresolved and asks the parties to keep negotiating. Heavy Buddy stays neutral.
Either party can refuse to accept a version, post additional comments, or cancel the contract entirely before signature. No hidden penalty for stepping back from a deal.
Annexes you exchange privately (technical sheets, customs paperwork, financial proof) are not part of the Smart Contract scope unless you explicitly reference them. Confidentiality is preserved.
Everything is tracked, nothing can be silently altered.

Smart Contracts are included in the standard 5–10% sale commission. Whether the buyer and seller need 1 revision or 12, whether they invite advisors or sign as just the two of them — the cost is built into the platform fee.
For deals above CHF 50,000, we strongly recommend at least one external legal review before signature — this is on the parties (or their advisors), not on Heavy Buddy.
